GENERAL CONDITIONS AND TERMS OF USE

This page tells you the terms of use on which you may use OYSTEO. By using OYSTEO, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, you must not access or use OYSTEO.

These Terms and Conditions of Use (the “Terms”) apply to the OYSTEO website located at oysteo.com, all sub-sites associated with it, and any other OYSTEO service which links to these Terms (together, the “Site”). The Site is operated by Oysteo Limited, a company registered in England and Wales under company number 12523542, with its registered office at 86-90 Paul Street, London, England, EC2A 4NE (“OYSTEO”, “we”, “us” or “our”). If you use the Site on behalf of a business or other organisation, you confirm that you have the authority to bind that business or organisation to these Terms. In such circumstances, references to “you” shall include that business or organisation.

USE OF THE SITE

You may use the Site where permitted by applicable law. If you are under 18, you must have the permission of a parent or legal guardian and should use the Site under their supervision where appropriate. You may complete a booking, purchase or other transaction only where you are legally able to enter into the relevant contract. Otherwise, the transaction must be completed by a parent or legal guardian. You must ensure that all information provided to OYSTEO is complete, accurate and current. You are responsible for maintaining the confidentiality of your account and sign-in information and for all activity carried out through your account, except where such activity results from OYSTEO’s failure to exercise reasonable care. You must notify OYSTEO promptly at [email protected] if you know or suspect that your account or sign-in information has been accessed or used without authority.

OYSTEO SERVICES; SEARCH RESULTS AND RECOMMENDATIONS

OYSTEO provides digital discovery, search, recommendation and referral services in relation to selected hotels, brands, products, services and experiences. OYSTEO may use automated tools to understand requests and provide relevant results and recommendations. Search results, recommendations and other Content may be based on information supplied by hotels, brands, retailers and other third-party providers (each a “Partner”), as well as information obtained from public sources and other third parties. Although OYSTEO takes reasonable steps to present information clearly, the information displayed through the Site may be incomplete, inaccurate, unavailable or out of date. Results may also be affected by the information provided by you and the way in which a request is expressed. Automated output is provided as an informational aid to discovery and decision-making. It does not constitute a statement of fact, a guarantee, or legal, medical, financial or other professional advice. Before relying upon information obtained through the Site, you must confirm any information which is material to your decision directly with the relevant Partner. This includes, without limitation, prices, availability, room or product details, facilities, opening hours, menus, ingredients, policies, benefits and service information. Information identified as unverified, unavailable or subject to confirmation must not be treated as confirmed.

SAFETY-SENSITIVE INFORMATION

You must not rely solely upon OYSTEO for information which may affect health, safety or legal rights. Safety-sensitive information must be confirmed directly with the relevant Partner or an appropriately qualified professional. This includes, without limitation, information concerning allergens, ingredients, dietary requirements, medical needs, accessibility, security, emergencies, child safety, visas, passports, entry requirements, insurance and legal, tax or financial matters. OYSTEO is not an emergency service. Where immediate assistance is required, you should contact the relevant local emergency services.

PARTNERS, BOOKINGS AND PURCHASES

Unless expressly stated otherwise, OYSTEO does not provide hotel accommodation, transport, restaurant services, retail goods or any other Partner products or services. OYSTEO acts solely as a discovery, distribution and referral channel. OYSTEO does not act as a hotel, retailer, tour operator or travel agent and does not act as the agent of either you or a Partner. Where you make a booking or purchase from a Partner, the contract for the relevant product or service is entered into directly between you and that Partner. The Partner’s own terms and privacy notice will apply. The Partner is solely responsible for accepting, confirming and fulfilling the relevant booking or order, determining the final price, taxes and charges, collecting payment, applying cancellation and refund terms, delivering the product or service, providing customer or guest support and supplying any stated benefit. No room, rate, product, service or benefit shall be secured until it has been confirmed by the relevant Partner. OYSTEO and the relevant Partner may use a referral identifier or other attribution method to identify a booking or purchase, apply available benefits and confirm that the relevant transaction resulted from an OYSTEO referral. Preferred Partner benefits, including upgrades, may vary according to the Partner, rate, room or product type, dates and availability. Any benefit described as preferred, priority or subject to availability is not guaranteed. The relevant Partner remains responsible for supplying any benefit which it confirms. OYSTEO may introduce you to an independent travel advisor or destination management company in connection with bespoke travel planning. OYSTEO provides the introduction only and does not organise, sell or fulfil the relevant trip. Any contract for travel planning or related services shall be entered into directly between you and the relevant provider. That provider shall be responsible for arranging the trip, booking its component services, collecting payment and supplying or managing the agreed services. OYSTEO does not sell or arrange travel insurance. You are responsible for obtaining suitable insurance for your circumstances.

COMMERCIAL RELATIONSHIPS AND RANKING

OYSTEO may receive a commission, referral fee or other commercial benefit where you submit an enquiry, accept an introduction, make a booking or complete a purchase involving a Partner. The price and any charges payable by you shall be determined and disclosed by the relevant Partner. Search results and recommendations may take into account relevance, information provided by you, availability and OYSTEO’s commercial relationships with Partners. Any paid or sponsored Content shall be identified clearly. OYSTEO does not represent or warrant that the Site will display every available provider, product, service, rate or price, or that any displayed result represents the lowest available price.

INTELLECTUAL PROPERTY and CONTENT; LIMITATIONS OF USE

All rights are reserved. The materials contained on the Site, including, without limitation, all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, software and computer code (together, the “Content”), are proprietary to OYSTEO or its licensors. OYSTEO owns or is licensed to use the appearance, organisation and layout of the Site, the underlying software and original data, and all related registered and unregistered intellectual property rights. Partner names, marks, images and information remain the property of their respective owners. The Site and Content are protected by copyright, trademark, database right and other intellectual property and unfair competition laws. OYSTEO grants you a limited, personal, non-exclusive, non-transferable and revocable right to access the Site and view its Content for lawful, personal and non-commercial purposes in accordance with these Terms. No part of the Site or Content may be copied, reproduced, republished, publicly displayed, posted, encoded, uploaded, transmitted, translated, distributed, modified, sold, licensed or otherwise commercially exploited without OYSTEO’s express prior written consent, except where permitted by applicable law. Where information relating to OYSTEO products or services is expressly made available for download, you may use that information solely for personal, non-commercial and informational purposes, provided that you do not modify it, remove any proprietary notice, publish or broadcast it, or make any additional representation or warranty relating to it.

You agree that you will not:

• Create a false identity, misrepresent your identity, impersonate another person, create an account for another person without authority, or use or attempt to use another person’s account;

• Submit, upload or transmit any unlawful, harmful, fraudulent, misleading, infringing, defamatory or abusive material;

• Develop, support or use software, devices, scripts, robots, crawlers, browser plugins, add-ons or other automated means to scrape, harvest, monitor, copy or extract the Site, Content or data without OYSTEO’s prior written consent;

• Override, bypass or circumvent any security feature, access control, rate limit or technical restriction applying to the Site;

• Introduce malicious code, viruses or other harmful material, interfere with the operation of the Site or connected systems, or impose an unreasonable or disproportionately large load upon them;

• Copy, use, disclose or distribute information obtained from the Site without OYSTEO’s consent or another lawful basis; - Disclose personal, confidential or proprietary information which you do not have authority to disclose;

• Violate the intellectual property or other rights of OYSTEO or any other person;

• Reverse engineer, decompile, disassemble, decipher or otherwise attempt to discover or derive source code, non-public technology, data, methods or systems, except where applicable law does not permit that restriction;

• Use the Site or any output generated through the Site to build, train, test, develop or improve a competing product or service without OYSTEO’s prior written consent;

• Imply or state that you are affiliated with or endorsed by OYSTEO without OYSTEO’s express prior written consent;

• Deep-link to, frame, mirror or otherwise simulate the appearance or operation of the Site without OYSTEO’s prior written consent;

• Monitor the availability, performance or functionality of the Site for a competitive purpose; - Modify the Site or its appearance, including by inserting, removing, covering or obscuring any Content;

• Manipulate reviews, recommendations, search results, referral tracking, O Rewards or booking attribution; or Use the Site or Content for any purpose which is unlawful, prohibited by these Terms or infringes the rights of OYSTEO or any other person. You may not reverse look up, trace or seek to trace information relating to another user, visitor or customer of OYSTEO, or otherwise exploit the Site, Content or services for the purpose of revealing personal information other than your own information. You may not manipulate any identifier in order to disguise the origin of a message or transmission sent through the Site or pretend that you are, or represent, another individual or entity. OYSTEO may investigate suspected misuse and take reasonable steps to protect the Site, its users, Partners and other persons, including restricting, suspending or terminating access where appropriate.

INFORMATION YOU PROVIDE

You retain ownership of information and Content submitted by you through the Site. You grant OYSTEO a worldwide, non-exclusive, royalty-free licence to host, copy, process, adapt and display that information and Content solely to the extent reasonably necessary to operate, secure and improve the Site, provide requested services and recommendations, and comply with applicable law. This licence shall end when the relevant information or Content is deleted, except in relation to copies which OYSTEO is required to retain by law, for security purposes or in backups for a limited period. You warrant that you have the right and authority to submit the information or Content and that OYSTEO’s permitted use of it will not infringe the rights of any other person. You must not submit another person’s personal, confidential or proprietary information unless you have authority to do so. You should not include unnecessary sensitive information in any query, message or other submission.

WEBSITE CHANGES, PROMOTIONS, PRICING, CORRECTIONS

OYSTEO reserves the right to change the Site, its information, features, services, products or these Terms. OYSTEO may also suspend or withdraw any feature, service, product or part of the Site. OYSTEO will publish any updated Terms together with their effective date. Where practicable or required by applicable law, OYSTEO will provide reasonable notice of any material change. The prices and availability of products and services displayed through the Site are subject to change before the relevant booking or purchase is confirmed. Content may contain typographical errors, inaccuracies or omissions and may not be complete or current. OYSTEO reserves the right to correct or update Content at any time. Errors, inaccuracies or omissions may relate to product or service descriptions, prices, rates, availability, benefits, taxes or charges supplied by OYSTEO, a Partner or another third party. A change to these Terms shall not apply retrospectively to a completed booking or purchase unless required by applicable law.

THIRD-PARTY SITES

The Site may contain links to websites and services maintained or operated by other persons or organisations. These links are provided for the convenience of users and do not, by themselves, indicate that OYSTEO sponsors, controls or is affiliated with the relevant third party. Information submitted through a third-party website or service shall be subject to that third party’s terms of use and privacy notice. OYSTEO does not control third-party websites, privacy practices, products, services or performance and does not provide any representation or warranty concerning the accuracy, security or content of such websites or services. Nothing in this section shall exclude or limit any liability which OYSTEO has under applicable law for its own statements, acts or omissions.

NO WARRANTY AND EXCLUSION OF LIABILITY

OYSTEO aims to keep the Site available and secure but does not represent or warrant that access to the Site or Services will be uninterrupted, secure or error-free. OYSTEO may restrict or suspend access to the Site for maintenance, security, legal, technical or operational reasons. To the fullest extent permitted by applicable law, the Site, Services, Content and information are provided on an “as is” and “as available” basis. OYSTEO and its affiliates disclaim all implied and statutory warranties, including any implied warranty of title, accuracy, non-infringement, satisfactory quality, merchantability or fitness for a particular purpose, except to the extent that such warranty cannot lawfully be excluded.

LIMITATION OF LIABILITY; NO REPRESENTATIONS

Nothing in these Terms excludes or limits liability which cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any mandatory statutory rights available to a consumer. If you are a consumer, OYSTEO shall be responsible for loss or damage which is a foreseeable result of OYSTEO’s breach of these Terms or failure to exercise reasonable care and skill. OYSTEO shall not be responsible for any loss or damage which was not reasonably foreseeable when you accepted these Terms. OYSTEO is not responsible for the performance by a Partner of its contract with you or for inaccurate, incomplete or out-of-date information supplied by a Partner which OYSTEO has reproduced with reasonable care. OYSTEO remains responsible for its own statements, acts and omissions to the extent required by applicable law. The Site is provided for private and personal use. If you are a consumer, OYSTEO shall not be liable for any business loss, including loss of profit, revenue, business, opportunity, anticipated savings or goodwill. If you use the Site wholly or mainly for business purposes, then, to the fullest extent permitted by applicable law, OYSTEO shall not be liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profit, revenue, business, contracts, opportunity, anticipated savings, goodwill or data. Subject to any liability which cannot lawfully be limited, OYSTEO’s total liability to a business user arising out of or in connection with the Site or these Terms in any 12-month period shall not exceed the greater of £100 and the total amount paid directly by that business user to OYSTEO for the Site or Services during that period.

EMAIL DISCLAIMER

OYSTEO emails may contain confidential information intended exclusively for the named recipient. If you are not the intended recipient, you must notify the sender promptly and must not disclose the contents to another person, use the information for any purpose, or store or copy the information in any medium. OYSTEO accepts no responsibility or liability for any malicious or fraudulent email purporting to originate from OYSTEO. It is your responsibility to take reasonable steps to confirm that an email is genuine before relying upon it. Any views expressed by an individual in an email do not necessarily reflect the views of OYSTEO.

O REWARDS

If you elect to join O Rewards, you may earn O Rewards Points on eligible purchases completed through participating brand links. Unless a specific offer states otherwise, you will earn 2 O Rewards Points for each US$100 of eligible purchase value. Points are awarded on the eligible purchase value only and exclude taxes, duties, tariffs, delivery charges and any excluded products or services. O Rewards Points shall remain pending until the relevant Partner confirms the transaction and any applicable cancellation or return period has expired. Returned, cancelled, unpaid, fraudulent or incorrectly tracked purchases may be rejected, adjusted or reversed. Once your confirmed balance reaches 50 O Rewards Points, you may request a redemption payment, subject to providing any information reasonably required to make that payment. One confirmed O Rewards Point has a redemption value of US$1. OYSTEO reserves the right to deduct reasonable banking, transfer and foreign-exchange charges where those charges are disclosed before payment. O Rewards Points are personal, cannot be transferred and have no cash value before confirmation. Points expire 365 days after the date on which they are issued. O Rewards Points may be earned only where an eligible purchase is correctly attributed to OYSTEO. A Partner’s tracking and reporting may affect whether a purchase qualifies. Blocking cookies, changing devices, using another referral link or completing a purchase outside the tracked session may prevent attribution. OYSTEO may amend or close O Rewards upon reasonable notice. Unless prevented by fraud, misuse, legal requirements or circumstances outside OYSTEO’s reasonable control, confirmed points earned before closure shall remain available for redemption for at least 90 days following notice of closure. OYSTEO may suspend, cancel, adjust or refuse points obtained through fraud, manipulation, error, misuse or breach of these Terms. By joining O Rewards, you agree to comply with these Terms and any additional conditions presented in connection with a particular reward or offer.

PRIVACY POLICY

OYSTEO’s Privacy Policy applies to the collection and use of Personal Data through the Site. The Privacy Policy explains how OYSTEO collects and uses information relating to accounts, communications, preferences, recommendations, enquiries, Partner introductions, booking and purchase referrals and O Rewards transactions. OYSTEO’s Cookie Notice explains how cookies and similar technologies are used for security, preferences, analytics and referral attribution. A Partner will normally act as an independent Data Controller of information it receives in connection with a booking, purchase, enquiry or service. You should review the relevant Partner’s privacy notice before providing Personal Data to it.

GENERAL PROVISIONS

These Terms operate to the fullest extent permitted by applicable law. If any provision of these Terms is found to be unlawful, void or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions. A failure or delay by OYSTEO in exercising any right or remedy shall not constitute a waiver of that right or remedy. You may not assign or transfer your rights or obligations under these Terms without OYSTEO’s prior written consent. OYSTEO may assign or transfer its rights or obligations to another organisation, provided that doing so does not reduce any mandatory rights available to a consumer. Nothing in these Terms creates a partnership, joint venture, employment relationship or agency relationship between you and OYSTEO. These Terms, the Privacy Policy and any service-specific terms presented to you constitute the agreement between you and OYSTEO concerning your use of the Site. The separate terms of the relevant Partner shall govern the contract between you and that Partner.

GOVERNING LAW AND JURISDICTION

If you are a consumer, these Terms shall be governed by the law of England and Wales. You shall retain any mandatory rights or protections provided by the law of the country in which you live. A consumer may bring proceedings in the courts of England and Wales or, where permitted by applicable law, in the courts of the country in which that consumer lives. If you are a business user, these Terms and any non-contractual dispute or claim arising out of or in connection with them shall be governed by the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute or claim involving a business user.
